These Terms of Service ("Terms") govern your access to and use of the website bosunai.io, the Bosun AI hardware device, subscription services, and all related services (collectively, the "Service") provided by Bosun AI ("we," "us," or "our"). Please read these Terms carefully before using the Service.

1. Acceptance of Terms

By accessing our website, joining our waitlist, purchasing hardware, subscribing to our services, or otherwise using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you must not use the Service.

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on this page and updating the effective date. Your continued use of the Service after such changes constitutes your acceptance of the revised Terms.

Bosun AI offers the following subscription plans:

Hardware purchases include six (6) months of complimentary subscription service. At the end of the complimentary period, your subscription will automatically convert to a paid subscription at the then-current rate unless you cancel before the complimentary period ends.

The Bosun AI hardware retains substantial on-device functionality without an active subscription, including NMEA 2000 instrument queries (depth, battery, wind, speed, GPS, AIS, tank levels), wake word detection, voice activity detection, speaker identification, camera monitoring, person and face detection, anchor watch, local logbook, and basic alerts. Local voice commands for instrument queries continue to function using on-device speech-to-text and voice synthesis at reduced quality.

The following features require an active subscription to function: cloud-grade speech-to-text (higher accuracy), cloud-grade voice synthesis (natural voice), conversational AI responses (complex queries, open-ended questions, route planning, weather analysis), Hub dashboard synchronization, weather data feeds, and over-the-air software updates.

We will maintain on-device functionality for the features listed in the first paragraph for the usable lifetime of the hardware. We will not remotely disable hardware functions in response to a lapsed subscription.

5. Important Safety Disclaimers

BOSUN AI IS NOT A SAFETY DEVICE. BOSUN AI IS NOT A SUBSTITUTE FOR PROPER SEAMANSHIP, NAVIGATION EQUIPMENT, SITUATIONAL AWARENESS, OR WATCH-STANDING PRACTICES.

5.1 Not a Navigation Device

The Bosun AI device is an informational and convenience tool. It is expressly not intended to serve as a primary or backup navigation system, collision avoidance system, or safety alert system. The device reads and interprets data from your existing NMEA 2000 instruments but does not replace those instruments or any required safety equipment.

5.2 No Replacement for Seamanship

Nothing in the Bosun AI product or service is a substitute for:

Artificial intelligence systems, including Bosun AI, can produce inaccurate, incomplete, or erroneous outputs. You must independently verify all information provided by the Bosun AI device before making any operational decisions. Never rely solely on AI-generated information for navigation, safety, or operational decisions aboard a vessel.

5.4 Environmental Conditions

The Bosun AI device operates in a marine environment subject to extreme conditions including water exposure, vibration, temperature extremes, electromagnetic interference, and connectivity disruptions. Performance may vary based on environmental conditions, installation quality, and NMEA 2000 network configuration.

6. Hardware Warranty

6.1 Limited Warranty

Bosun AI provides a limited warranty for the hardware device for a period of two (2) years from the date of original purchase. During this period, we will repair or replace, at our sole discretion, any hardware that is defective in materials or workmanship under normal use.

7. Limitation of Liability

EXCEPT FOR THE EXPRESS LIMITED HARDWARE WARRANTY IN SECTION 6, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY.

7.2 Limitation of Damages

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL BOSUN AI, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

7.3 Maximum Liability

OUR TOTAL AGGREGATE LIABILITY FOR ANY AND ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) THE ORIGINAL PURCHASE PRICE OF YOUR BOSUN AI HARDWARE DEVICE.

7.4 Maritime Acknowledgment

You acknowledge that marine operations involve inherent risks, including but not limited to adverse weather, equipment failure, human error, and navigational hazards. You assume all risks associated with operating a vessel and agree that Bosun AI bears no responsibility for maritime incidents regardless of whether the Bosun AI device was in use at the time.

8. Intellectual Property

8.1 Ownership

All intellectual property rights in the Bosun AI hardware design, software, firmware, algorithms, voice AI system, user interface, website, branding, and all related materials are owned exclusively by Bosun AI or its licensors. The Bosun AI technology is patent pending.

8.2 Trademarks

"Bosun AI," the Bosun AI logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Bosun AI. You may not use these marks without our prior written permission.

8.3 Limited License

Subject to your compliance with these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable license to use the Bosun AI hardware and software for your personal or internal business use aboard your vessel(s). You may not:

10.1 Termination by You

You may stop using the Service and cancel your subscription at any time. Cancellation of your subscription does not entitle you to a refund of any previously paid fees.

We may suspend or terminate your access to the Service, in whole or in part, at any time and for any reason, including but not limited to:

Upon termination, your right to use cloud-based features of the Service ceases immediately. On-device functionality that does not require cloud connectivity will continue to operate. Sections 5, 7, 8, 11, and 12 survive termination.

11. Dispute Resolution

11.1 Informal Resolution

Before filing any formal legal action, you agree to first contact us at hello@bosunai.io and attempt to resolve the dispute informally for at least thirty (30) days.

11.2 Arbitration

If informal resolution fails, any dispute arising out of or relating to these Terms or the Service shall be resolved by binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall be conducted in the English language and the arbitral award shall be final and binding.

11.3 Class Action Waiver

You agree that any dispute resolution proceedings will be conducted only on an individual basis and not as a class, consolidated, or representative action.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to conflict of law principles. For any disputes not subject to arbitration, you consent to the exclusive jurisdiction and venue of the federal and state courts located in the United States.

13. General Provisions

13.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Bosun AI regarding the Service and supersede all prior agreements and understandings.

13.2 Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

13.3 Waiver

Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision.

13.4 Assignment

You may not assign or transfer these Terms or your rights under them without our prior written consent. We may assign these Terms without restriction.

13.5 Force Majeure

We shall not be liable for any failure or delay in performance due to causes beyond our reasonable control, including but not limited to acts of God, war, terrorism, pandemics, natural disasters, supply chain disruptions, government actions, or internet or telecommunications failures.
